1. Who we are

COGNIX[WS] is software developed and sold by COGNIXSE TECNOLOGIA LTDA, a Brazilian company (CNPJ 66.902.013/0001-64), located at Rua Pais Leme, 215, suite 1713, Pinheiros, São Paulo/SP, 05424-150, Brazil ("we"). Contact: contact@cognix.ws.

2. What these terms cover

These terms apply to the cognix.ws website, the early-access request, and the purchase and use of the Founding license and the COGNIX[WS] software, including beta versions. You may buy as an individual or as a company, from any country. If you buy on behalf of a company, you confirm you are authorized to do so. By buying or using the software you accept these terms.

3. The Founding license

4. Payment

Payments are processed by Stripe (cards, worldwide) and, in Brazil, also through Pix. We never receive or store your card details. Your bank may apply currency conversion and its own fees.

5. Withdrawal, cancellation and refunds

You may cancel within 7 calendar days after any charge and get a full refund, no reason needed (as Brazil's Consumer Protection Code, art. 49, provides; we extend it to every customer). Consumers in the European Union, the European Economic Area and the United Kingdom have 14 days, as their law provides. Details are in the Refund Policy. You can turn off renewal at any time; access continues until the end of the period already paid.

If we discontinue COGNIX[WS] before releasing v1, we will refund every founder in full.

6. Permitted use

You may install and use the software for personal or professional work, including commercial work. You may not resell, sublicense or redistribute the software or the license; bypass the license check; reverse engineer it beyond what the law allows; or use it for illegal activity.

7. Ownership

The software is proprietary. The license grants you a right to use it; the code, the COGNIX[WS] brand and all other rights remain ours. What you create with the software is yours.

8. Third-party tools and services

COGNIX[WS] organizes and controls third-party tools that you install and configure yourself (for example Claude Code, Codex and other agent CLIs) and the AI providers you subscribe to. Their terms, prices and policies apply between you and them. We are not responsible for what those services do, charge or store.

9. Your responsibility for agents

AI agents can run commands, edit files and act on your computer and connected services with the permissions you grant. You decide what each agent may do and are responsible for reviewing the results. We recommend backups and version control for your projects.

10. Warranty and limitation of liability

The software is provided as is, especially beta builds. To the extent the law allows, our total liability related to the license is limited to the amount you paid in the 12 months before the event. Nothing in these terms removes rights that the consumer protection law of your country of residence gives you.

11. Suspension

We may suspend a license for fraud, an abusive payment dispute, or a breach of section 6, and we will email you the reason.

12. Changes to these terms

We may update these terms. We will email material changes at least 30 days in advance, and they never change a founder price already purchased.

13. Governing law

These terms are governed by the laws of Brazil, without prejudice to the mandatory consumer protection rules of your country of residence. Consumers may bring claims in the courts of their own domicile; business customers agree to the courts of São Paulo, State of São Paulo, Brazil.
